Where the date on the cover sheet of an agreement and the date of signature conflict, which takes precedence?

  • You state in your Drafting note, Commencement and Duration Clause that "An express commencement date is necessary if the date an agreement comes into effect, or its obligations commence, is different to the date when the agreement is signed by the parties" could you please provide the relevant authority for this?
  • If an agreement has no express effective date but is dated on the front page X but the date under the signature is Y which of these dates takes precedence?
