Acted for UOL Equity Investments Pte Ltd ('UEI or the Offeror') and UOL Group Limited in the mandatory conditional cash offer ('Offer') for all the issued ordinary shares in the capital of United Industrial Corporation Limited ('UIC') for approximately S$1.579 billion. The Offer resulted in the Offeror increasing its shareholding in UIC by approximately 16.5% for an aggregate consideration of approximately S$273 million.
Acted for Wilmar International Ltd and Olam International Ltd in connection with a purchase of a composite 27% stake for S$190 million (EUR 90 million) in SIFCA, SA, the largest private agro-industrial group in Cote d'Ivoire.
Acted for George Street Pte Ltd (an indirect wholly-owned subsidiary of CapitaLand Limited) in the proposed divestment of 1 George Street, Singapore, a 23-storey Grade A commercial building, to CapitaCommercial Trust for S$1.165 billion.
Acted for Temasek Holdings (Private) Limited in the sale of its shares in Singapore Computer Systems Ltd ('SCS') held through Green Dot Capital Pte Ltd, to a wholly-owned subsidiary of NCS Pte Ltd ('NCS') following a competitive auction process. NCS is in turn wholly-owned by Singapore Telecommunications Limited (Singtel). Following the sale, NCS made a mandatory offer for all the remaining shares in SCS

Dilhan speaks on Singapore corporate and securities laws and mergers and acquisitions at various conferences in Singapore and overseas. He has authored articles on matters relating to securities laws, which have been published in legal publications. In addition to serving on the boards of public and private companies, he is a Trustee of the Singapore Management University as well as a member of the Advisory Board of its Law School. He also serves as a Board Member of the Accounting and Corporate Regulatory Authority of Singapore and is a member of the Steering Committee for Review of the Companies Act appointed by the Minister of Finance to undertake a complete review of the Singapore Companies Act and the Design Committee for the Corporatisation of Changi Airport and Restructuring of the Civil Aviation Authority of Singapore.
