Clean Team Agreement (Antitrust)

A Standard Document that allows merging parties to reduce antitrust risk by establishing procedures for the exchange of competitively sensitive information in a transaction likely to face scrutiny by the Federal Trade Commission (FTC), the Antitrust Division of the Department of Justice (DOJ), or the state attorneys general (AGs). This Clean Team Agreement (CTA) protects the merging parties' competitively sensitive and confidential information and ensures that the sharing of this information complies with applicable antitrust laws while allowing the parties to complete due diligence and plan for integration.
